1. Acceptance of these Terms

These Terms of Service govern access to and use of Ulam Alloy, an experimental AI chat interface and API operated by Yotta Content LTD.

By creating an account, accessing the web interface, using the API, generating an API key, submitting a prompt, uploading a file, or otherwise using Ulam Alloy, you agree to these Terms, the Privacy Policy, the AI Safety Policy, any applicable order form, and any additional terms presented to you.

If you use Ulam Alloy on behalf of an organisation, you represent that you have authority to bind that organisation. In that case, you and Customer refer to that organisation.

If you do not agree to these Terms, do not use Ulam Alloy.


2. About Ulam Alloy

Ulam Alloy is an experimental AI service that provides an AI chat interface and API for sending prompts, files, messages, API requests, and related data to AI systems, routing layers, partners, and external model providers.

Ulam Alloy may be used for experimentation, prototyping, developer workflows, internal testing, model comparison, and other AI-assisted tasks subject to these Terms.

Ulam Alloy is not a zero-data-retention service by default. Ulam Alloy may retain prompts, API requests, files, responses, outputs, chat history, account data, usage data, and related payload data as described in the Privacy Policy. API gateway diagnostic payload logs, where kept by Yotta, are intended to be retained for up to one month / 30 days, but web chat history, uploaded files, account records, billing records, security logs, backups, and external-provider records may be retained for longer. Ulam Alloy may also share data from prompts and API requests with partners, infrastructure providers, routing providers, and external AI/model providers.


3. Experimental product; use at your own risk

Ulam Alloy is experimental. It may be changed, interrupted, degraded, suspended, discontinued, or produce unexpected results at any time.

You acknowledge that:

4. Eligibility and accounts

You must be legally capable of entering into a binding agreement to use Ulam Alloy.

Ulam Alloy is not intended for children. You must not use Ulam Alloy if you are under the minimum age required by law in your jurisdiction or if you are prohibited from using the service under applicable law.

You are responsible for:

Yotta may suspend or terminate accounts that appear to be compromised, fraudulent, abusive, unlawful, or in breach of these Terms.


5. Web interface and API use

You may use Ulam Alloy only in accordance with these Terms, the AI Safety Policy, documentation, rate limits, usage limits, and applicable law.

For API use, you are responsible for:

You must not bypass, disable, overload, probe, scrape, reverse engineer, or interfere with Ulam Alloy, its security controls, model routing, rate limits, filters, safety systems, or access controls except as expressly permitted in writing.


6. Inputs, prompts, files, and customer content

Customer Content means prompts, chat messages, system messages, API requests, uploaded files, pasted text, documents, images, code, tool calls, structured data, feedback, and other content you submit to Ulam Alloy.

You retain your rights in Customer Content, subject to the licence you grant below.

You grant Yotta a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, process, adapt, display, analyse, route, disclose, and otherwise use Customer Content as necessary to:

You represent that you have all rights, permissions, notices, consents, and lawful bases necessary to submit Customer Content to Ulam Alloy and to permit the processing and sharing described in these Terms.


7. AI outputs

Outputs means text, code, analysis, summaries, classifications, embeddings, tool outputs, transformations, or other results generated or returned by Ulam Alloy or external model providers.

Subject to your compliance with these Terms and any applicable third-party provider terms, Yotta assigns to you any rights it may have in Outputs generated for you, to the extent permitted by law.

You acknowledge that:

You must not represent AI-generated Outputs as human-generated where doing so would be deceptive, unlawful, or misleading.


8. Data retention and external sharing

By using Ulam Alloy, you acknowledge and agree that:

9. Privacy and data processing

Yotta's processing of personal data is described in the Privacy Policy.

For direct users of the web interface, Yotta generally acts as Controller for personal data processed to provide and operate Ulam Alloy.

For business and API customers that submit personal data on behalf of their own users, Yotta may act as Processor under a written Data Processing Agreement, except where Yotta acts as an independent Controller for account administration, billing, security, abuse prevention, analytics, legal compliance, service improvement, and other purposes described in the Privacy Policy or applicable agreement.

Business and API customers should enter into a Data Processing Agreement before submitting personal data in production.


10. Sensitive, confidential, and regulated data

Ulam Alloy is not intended for sensitive, confidential, regulated, production, or high-risk data by default.

Unless Yotta has expressly agreed in writing, you must not submit:

If you submit restricted data despite this clause, you are responsible for all resulting legal, contractual, security, and compliance obligations.


11. Acceptable use and AI safety

You must comply with the Ulam Alloy AI Safety Policy.

You must not use Ulam Alloy to create, request, facilitate, automate, or distribute content, instructions, tools, or outputs for unlawful, harmful, abusive, exploitative, deceptive, or high-risk purposes.

Yotta may monitor, review, filter, rate-limit, refuse, suspend, or terminate use of Ulam Alloy to enforce these Terms, the AI Safety Policy, provider policies, or applicable law.

You must not use Ulam Alloy for:

Ulam Alloy does not provide legal, medical, financial, tax, accounting, employment, insurance, safety, engineering, or other professional advice.

You must not rely on Ulam Alloy as a substitute for qualified professional advice.

You must not use Ulam Alloy as the sole basis for decisions that have legal, financial, medical, employment, housing, insurance, credit, education, immigration, criminal justice, law enforcement, or similarly significant effects on individuals.

Where outputs are used in consequential contexts, you are responsible for expert review, human oversight, validation, fairness testing, recordkeeping, user disclosures, appeal mechanisms, and compliance with applicable law.


14. Third-party services and external model providers

Ulam Alloy may integrate with or route requests to third-party services, including external AI/model providers.

Third-party services may be governed by their own terms, privacy policies, safety rules, retention practices, and data-processing arrangements. You are responsible for reviewing and complying with any applicable third-party terms.

Yotta is not responsible for third-party provider availability, model quality, data practices, pricing, policy changes, latency, outages, outputs, or security incidents except to the extent required by law or expressly agreed in writing.


15. Fees and payment

Some features may be free, experimental, usage-based, subscription-based, prepaid, or invoiced.

Fees, credits, rate limits, usage limits, billing periods, taxes, refunds, and payment terms will be described in the applicable order form, dashboard, pricing page, or written agreement.

Unless otherwise stated:

Subscriptions renew monthly until cancelled. Current self-serve plans are Starter ($10/month), Builder ($20/month), and Pro ($100/month), unless a different price is shown at checkout or agreed in writing. You may cancel a subscription through the billing portal or by contacting support@ulam.ai. Cancellation normally takes effect at the end of the current billing period, and access may continue until then.

Subscription allowances and credits are not cash, are not stored-value accounts, are non-transferable, and may be subject to weekly, rolling, per-request, anti-abuse, and technical limits. Unused subscription allowance does not roll over after the billing period unless expressly stated. Prepaid top-up API credits, where offered, are usable until consumed or account termination, subject to product limits and applicable law.

Except where required by law or expressly agreed in writing, fees and credits are non-refundable, including for unused subscription allowance, partial billing periods, model/provider outages, account suspension for policy violations, or customer-side integration issues.


16. Service changes and availability

Yotta may modify, suspend, discontinue, limit, or remove any feature, model, provider, route, API endpoint, plan, or integration at any time.

Ulam Alloy is provided without any service-level commitment unless expressly agreed in a signed order form or service-level agreement.

Yotta may impose limits on usage, rate, storage, payload size, model access, geographic availability, or provider access.


17. Intellectual property

Yotta and its licensors retain all rights in Ulam Alloy, including software, systems, APIs, models or model integrations, documentation, interfaces, workflows, designs, trademarks, logos, and service names.

You must not copy, modify, distribute, resell, sublicense, reverse engineer, or create derivative services from Ulam Alloy except as expressly permitted by these Terms or written agreement.

You may use the API documentation and sample code only for integrating with Ulam Alloy in accordance with these Terms.


18. Feedback

If you provide feedback, suggestions, bug reports, ideas, or recommendations, Yotta may use them without restriction or compensation, provided this does not override the Privacy Policy or DPA for personal data.


19. Suspension and termination

Yotta may suspend or terminate access to Ulam Alloy, immediately and without liability, if Yotta reasonably believes that:

You may stop using Ulam Alloy at any time. Account deletion and data deletion are governed by the Privacy Policy, DPA where applicable, and product capabilities.


20. Disclaimers

To the maximum extent permitted by law, Ulam Alloy is provided as is, as available, and with all faults.

Yotta makes no warranty that:

Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable law.


21. Limitation of liability

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, wilful misconduct, or any liability that cannot be limited or excluded by law.

To the maximum extent permitted by law, Yotta will not be liable for:

To the maximum extent permitted by law, Yotta's total aggregate liability arising out of or relating to Ulam Alloy will not exceed the greater of:

1. the fees paid by Customer to Yotta for Ulam Alloy in the three months before the event giving rise to liability; or

2. £100.

For consumer users, this limitation applies only to the extent permitted by applicable consumer law.


22. Indemnity

If you use Ulam Alloy on behalf of a business or organisation, you will indemnify and hold harmless Yotta, its officers, directors, employees, contractors, affiliates, and providers from claims, losses, liabilities, damages, fines, penalties, costs, and expenses arising from:


23. Changes to these Terms

Yotta may update these Terms from time to time. Updated Terms will be posted or otherwise made available.

Changes become effective on the date stated in the updated Terms or as otherwise notified. If you continue using Ulam Alloy after changes take effect, you accept the updated Terms.

Where required by law or contract, Yotta will provide additional notice of material changes.


24. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales, unless mandatory law provides otherwise.

The courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms, except where mandatory consumer or data protection law provides otherwise.


25. General terms

You may not assign or transfer your rights or obligations under these Terms without Yotta's prior written consent. Yotta may assign or transfer these Terms in connection with a merger, acquisition, reorganisation, sale of assets, financing, or by operation of law.

If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in effect.

Yotta's failure to enforce a provision is not a waiver.

These Terms, together with the Privacy Policy, AI Safety Policy, DPA where applicable, order forms, and additional terms, form the entire agreement relating to Ulam Alloy.
